BIOGRAPHY

Wayne B. Whitham has over 30 years of experience in counseling public and closely-held companies and individuals in general corporate, securities, and partnership matters, mergers, acquisitions, dispositions, leveraged acquisitions and recapitalizations, venture capital transactions, securities offerings, financings and joint ventures and similar matters. Mr. Whitham has worked on behalf of clients from a broad range of industries, including manufacturing companies, real estate firms, technology firms, retailers, communications companies, and oil and natural gas producers.

EXPERIENCE AND HIGHLIGHTS

• Represented a large public software company in connection with over 25 strategic stock and asset acquisitions. These transactions ranged in size from $1 million to $200 million
• Represented a large brick manufacturer in connection with numerous strategic stock and asset acquisitions. These transactions ranged in size from $1 million to $70 million
• Represented several large public companies in connection with mergers with other public companies. These transactions range in size from $50 million to $850 million
• Represented oil and gas service provider and its 15 shareholders in connection with a substantial equity investment by a private equity fund and concurrent bank financings related thereto. Continued to represent such client in connection with its subsequent numerous acquisitions and financings related thereto
• Represented numerous small, medium and large private equity, real estate and/or hedge funds in connection with their organization and private offerings of limited partnership interests, as well as in connection with their subsequent investments, acquisitions, dispositions, and financings related thereto. Successfully negotiated with small, medium and large fund investors and their counsel. Those funds have involved total commitments in excess of $500 million
• Represented local investors in connection with numerous investments in limited partnerships, limited liability companies and corporations. Those investments have involved total commitments in excess of $200 million
